Terms of Service

1. Acceptance of Terms

By engaging Purics AI for any service — whether through our website, email, discovery call, signed agreement, or subscription purchase — you ("Client", "you") agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or organisation, you represent that you have authority to do so.

2. Services Provided

Purics AI provides software engineering, AI development, and related technology services, including but not limited to:

• Full-stack web and backend development
• Mobile application development (iOS and Android)
• AI agent development and ML model deployment
• Cloud infrastructure and DevOps
• Software maintenance, bug fixes, and technical support
• Architecture design and technical consulting

Specific scope, deliverables, timelines, and pricing are agreed separately in writing for each engagement (via a project brief, SOW, or subscription plan confirmation).

3. Subscription Plans & Payment

• Subscription plans are billed monthly in advance.
• Payments are processed securely via Razorpay. By subscribing, you authorise recurring charges.
• All prices are in USD unless stated otherwise. Taxes (GST, VAT, etc.) may apply based on your jurisdiction.
• Invoices are issued at the start of each billing cycle. Payment is due on receipt.
• Late payments may result in a pause of services after a 7-day grace period, following written notice.
• Plan upgrades take effect immediately; downgrades at the next billing cycle.

4. Cancellation & Refunds

• You may cancel your subscription at any time by providing written notice to admin@purics.ai at least 14 days before your next billing date.
• Subscription fees already paid are non-refundable, except where required by applicable law or in the event of Purics AI failing to deliver agreed services.
• For project-based engagements, cancellation terms are outlined in the individual project agreement.
• If you are unsatisfied with any deliverable, contact us at admin@purics.ai — we will work with you to resolve the issue fairly.

5. Intellectual Property & Ownership

• All custom code, designs, and deliverables created specifically for you under a paid engagement are assigned to you upon receipt of full payment.
• You grant Purics AI a limited, non-exclusive licence to use your provided materials (logos, content, APIs, etc.) solely to deliver the agreed services.
• Purics AI retains rights to general-purpose tools, libraries, and frameworks developed independently. We will always be transparent about what is custom vs. reused infrastructure before project start.
• We will not use your work as a portfolio example or case study without your explicit written permission.

6. Confidentiality

Both parties agree to treat any proprietary or sensitive information shared during the engagement as strictly confidential. Please refer to our Data Confidentiality Policy for full details of our commitments. NDAs are available on request.

7. Client Responsibilities

To enable us to deliver high-quality work, you agree to:

• Provide timely, accurate, and complete project requirements and feedback
• Designate a point of contact with authority to make decisions
• Grant access to systems, repositories, or resources necessary for delivery, as agreed
• Ensure that any content, data, or materials you provide do not violate any third-party rights or applicable laws
• Respond to communications within a reasonable timeframe to avoid project delays

8. Acceptable Use

You agree not to use Purics AI's services to:

• Build, distribute, or operate any illegal software, service, or application
• Violate the intellectual property, privacy, or other rights of any third party
• Engage in deceptive, fraudulent, or harmful activities
• Develop systems designed to deceive, surveil, or harm individuals without their consent

Purics AI reserves the right to decline or terminate any engagement that violates these terms.

• We warrant that services will be delivered with reasonable skill, care, and professionalism.
• We do not guarantee that software will be error-free or uninterrupted. Software development inherently involves iteration and bug discovery.
• Third-party services, APIs, and platforms we integrate with are subject to their own terms and availability — we are not responsible for their downtime or policy changes.

11. Governing Law & Disputes

These Terms are governed by the laws of India (or the jurisdiction mutually agreed in a specific project contract). Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes may be referred to mediation or arbitration before litigation.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active clients via email at least 14 days before taking effect. Continued use of our services after that date constitutes acceptance of the updated terms.
